Terms & Conditions Domiciliation

Los presentes Términos y Condiciones regulan la
prestación de los servicios de domiciliación por parte de
Lexidy Law Boutique, SLP (en adelante, “LEXIDY”), con
NIF B66848862, y dirección en Avenida Diagonal 442,
1-1, 08037 Barcelona, España, representada por Federico
Richardson Alborna.

These Terms and Conditions govern the provision of
domiciliation services by Lexidy Law Boutique, SLP
(hereinafter, “LEXIDY”), with NIF B66848862, and address
at Avenida Diagonal 442, 1-1, 08037 Barcelona, Spain,
represented by Federico Richardson Alborna.

1. ALCANCE DE LOS SERVICIOS / SCOPE OF SERVICES
LEXIDY proporcionará al CLIENTE los siguientes
servicios de domiciliación:
Uso de la dirección de LEXIDY como dirección
comercial, domicilio social y domicilio fiscal de la
empresa del CLIENTE en España.
Recepción, apertura, escaneo y envío por correo
electrónico del correo postal dirigido al CLIENTE.
Custodia de documentos corporativos importantes
(escrituras, NIF, etc.).
Acceso a salas de reunión y espacios de trabajo según
disponibilidad y previo aviso.
Horario de atención: De lunes a jueves de 9:00 a 18:00
horas, y viernes de 9:00 a 15:00 horas.

LEXIDY will provide the CLIENT with the following
domiciliation services:
Use of LEXIDY’s address as the commercial address,
registered office (domicilio social) and fiscal domicile of
the CLIENT’s company in Spain.
Reception, opening, scanning and emailing of postal
mail addressed to the CLIENT.
Custody of important corporate documents (deeds, Tax
ID, etc.).
Access to meeting rooms and workspaces subject to
availability and prior notice.
Business hours: Monday to Thursday from 9:00 to
18:00, and Friday from 9:00 to 15:00.

2. DURACIÓN Y RENOVACIÓN / TERM AND RENEWAL
El período inicial del servicio será de UN (1) AÑO
desde la fecha de inicio.
El servicio se renovará automáticamente por períodos
anuales sucesivos.

LEXIDY enviará un correo electrónico automático DOS
(2) MESES antes de la fecha de renovación para
notificar al CLIENTE.

Cancelación: El CLIENTE podrá cancelar el servicio
notificándolo por escrito a corporate.spain@lexidy.com
durante el período de preaviso de un mes.
Si el CLIENTE no responde al aviso de renovación, las
tarifas de renovación se cargarán automáticamente.
LEXIDY podrá dar por terminado el servicio con UN (1)
MES de preaviso, o de forma inmediata en caso de
conducta ilegal, incumplimiento del contrato, o
terminación de los servicios legales relacionados.

The initial term of the service shall be ONE (1) YEAR
from the start date.

The service will automatically renew for successive
annual periods.

LEXIDY will send an automatic email TWO (2)
MONTHS before the renewal date to notify the
CLIENT.

Cancellation: The CLIENT may cancel the service by
written notification to corporate.spain@lexidy.com
during the one-month notice period.
If the CLIENT does not respond to the renewal notice,
renewal fees will be automatically charged.
LEXIDY may terminate the service with ONE (1)
MONTH’s notice, or immediately in case of illegal
conduct, breach of contract, or termination of related
legal services.

3. GESTIÓN DE CORREO POSTAL / POSTAL MAIL HANDLING

El CLIENTE autoriza expresamente a LEXIDY a abrir
su correo postal, escanear el contenido y enviarlo por
correo electrónico a la dirección proporcionada.
LEXIDY tratará el correo escaneado de lunes a
viernes, excluyendo días festivos y fines de semana.
La correspondencia recibida será escaneada y
enviada por correo electrónico dentro de los 3 días
laborables siguientes a su recepción, o antes si se
considera urgente.

LEXIDY no será responsable de cualquier problema
que pueda resultar de que las cartas escaneadas sean
interceptadas por alguna actividad en línea maliciosa.
Salvo que se acuerde lo contrario por escrito, los
servicios de correo postal no pueden ser utilizados
para servicios de marketing.

LEXIDY no aceptará correo postal que requiera pago
para su recepción (por ejemplo, envíos contra
reembolso o con portes debidos).
Paquetes y cajas: LEXIDY no acepta la recepción de
paquetes ni cajas salvo acuerdo previo por escrito. En
caso de aceptarse, estos no podrán ser almacenados
en las instalaciones de LEXIDY.
En el momento de la resolución del presente acuerdo,
el CLIENTE acepta que LEXIDY marcará todo el
correo postal como “Devolver al remitente”.

The CLIENT expressly authorizes LEXIDY to open its
postal mail, scan the content and send it by email to
the address provided.
LEXIDY will handle the scanned mail Monday through
Friday, excluding holidays and weekends.
Correspondence received will be scanned and sent by
email within 3 working days of receipt, or sooner if
deemed urgent.
LEXIDY will not be responsible for any problem that
may result from the scanned letters being intercepted
by any malicious online activity.
Unless otherwise agreed on in writing, postal services
may not be used for marketing services.
LEXIDY will not accept postal mail that requires
payment upon receipt (e.g., cash on delivery or
postage due shipments).
Packages and boxes: LEXIDY does not accept
packages or boxes unless previously agreed in writing.
If accepted, they cannot be stored at LEXIDY’s
premises.
At the time of termination of this Agreement, the
CLIENT agrees that LEXIDY will mark all postal mail
as “Return to Sender”.

4. CUSTODIA Y RETENCIÓN DE DOCUMENTOS / DOCUMENT CUSTODY AND RETENTION
Durante la vigencia del servicio:
Los extractos bancarios serán descartados, ya que
están disponibles en línea.
El correo publicitario (spam) será descartado.
El resto de documentos serán custodiados hasta su
recogida por el CLIENTE.
Tras la terminación del servicio:
El CLIENTE deberá enviar un servicio de mensajería o
una persona autorizada para recoger los documentos
custodiados.
Si el CLIENTE desea que LEXIDY continúe
custodiando los documentos tras la terminación, se
aplicará una tarifa de 300 EUR + IVA por año.
Si el CLIENTE no organiza la recogida de los
documentos, LEXIDY podrá destruirlos de forma
segura transcurridos 4 años.

During the term of the service:
Bank statements will be discarded, as they are
available online.
Advertising mail (spam) will be discarded.
All other documents will be kept in custody until
collection by the CLIENT.
After termination of the service:
The CLIENT must send a courier or authorized person
to collect the documents in custody.
If the CLIENT wishes LEXIDY to continue holding the
documents after termination, a fee of 300 EUR + VAT
per year will apply.
If the CLIENT does not arrange for document
collection, LEXIDY may securely destroy the
documents after 4 years.

5. OBLIGACIONES DEL CLIENTE / CLIENT OBLIGATIONS
El CLIENTE se obliga a informar inmediatamente a
LEXIDY de cualquier cambio en sus datos de contacto.
El CLIENTE se compromete a guardar absoluta
confidencialidad con respecto a cualquier información
de LEXIDY.
El CLIENTE se compromete a pagar todos los gastos
y honorarios necesarios para que LEXIDY dé
cumplimiento al presente acuerdo.
El CLIENTE se compromete a no introducir en las
dependencias de LEXIDY muebles ni enseres de su
propiedad que pudieran ser susceptibles de embargo.
El CLIENTE no llevará a cabo negocios de manera
contraria al Derecho Español y Europeo.
El CLIENTE se compromete a registrar otro lugar
como su domicilio social y fiscal en caso de
terminación del servicio. Esto implica un proceso de
firma ante notaría e inscripción en el Registro
Mercantil, cuyos costes correrán por cuenta del
CLIENTE.
Notificación a terceros: El CLIENTE será responsable
de notificar a bancos, proveedores, administraciones
públicas y cualquier otro tercero del cambio de
dirección.
Prohibición de cesión: El CLIENTE no podrá permitir
que terceros utilicen la dirección proporcionada por
LEXIDY sin consentimiento previo y por escrito.

The CLIENT undertakes to inform LEXIDY immediately
of any change in contact details.
The CLIENT undertakes to keep absolute
confidentiality with respect to any LEXIDY information.
The CLIENT agrees to pay all costs and fees
necessary for LEXIDY to comply with this Agreement.
The CLIENT undertakes not to introduce into LEXIDY’s
premises any furniture or property which could be
subject to embargo.
The CLIENT shall not conduct business in a manner
contrary to Spanish and European Law.
The CLIENT undertakes to register another place as its
registered office (domicilio social) and fiscal domicile in
case of termination. This involves a notarial signing
process and registration with the Commercial Registry,
the costs of which shall be borne by the CLIENT.
Third-party notifications: The CLIENT shall be
responsible for notifying banks, suppliers, public
administrations and any other third parties of the
change of address.
Subletting prohibition: The CLIENT may not allow third
parties to use the address provided by LEXIDY without
prior written consent.

6. USO DE LAS INSTALACIONES / USE OF PREMISES
Visitas: El CLIENTE deberá notificar con al menos 48
horas de antelación cualquier visita a las instalaciones
de LEXIDY para recoger documentos o realizar
gestiones presenciales.
Salas de reunión: Las instalaciones de LEXIDY no
están disponibles para alquiler. El CLIENTE
únicamente podrá utilizar las salas de reunión para
reuniones con el equipo de LEXIDY, no para reuniones
con sus propios clientes u otros terceros, salvo
acuerdo previo por escrito.

Visits: The CLIENT must provide at least 48 hours’
notice for any visit to LEXIDY’s premises to collect
documents or conduct in-person matters.
Meeting rooms: LEXIDY’s premises are not available
for rental. The CLIENT may only use meeting rooms
for meetings with the LEXIDY team, not for meetings
with their own clients or other third parties, unless
previously agreed in writing.

7. OBLIGACIONES DE LEXIDY / LEXIDY OBLIGATIONS
LEXIDY se compromete a custodiar los documentos
del CLIENTE con la debida diligencia.
LEXIDY notificará al CLIENTE de cualquier
correspondencia recibida dentro de los plazos
establecidos.
LEXIDY mantendrá la confidencialidad de toda la
información del CLIENTE.
LEXIDY comunicará al CLIENTE cualquier cambio en
sus datos de contacto o dirección con suficiente
antelación.

LEXIDY undertakes to keep the CLIENT’s documents
with due diligence.
LEXIDY will notify the CLIENT of any correspondence
received within the established deadlines.
LEXIDY will maintain the confidentiality of all CLIENT
information.
LEXIDY will communicate to the CLIENT any change
in its contact details or address with sufficient notice.

8. TARIFAS Y PAGO / FEES AND PAYMENT
Las tarifas aplicables serán las indicadas en la
propuesta comercial o factura correspondiente.
Todas las tarifas se expresan en euros y no incluyen el
IVA (21%), que se añadirá según corresponda.
Actualización de tarifas: Las tarifas podrán ser
incrementadas en cada renovación de acuerdo con el
aumento del Índice de Precios al Consumo (IPC).
Método de pago: El pago será anual y se realizará de
forma automática mediante adeudo directo SEPA
desde la cuenta bancaria de la empresa del CLIENTE.
La falta de pago supondrá el incumplimiento del
presente acuerdo. Si el CLIENTE no regulariza el pago
en el plazo de UN (1) MES desde la fecha de
vencimiento, los servicios quedarán cancelados.
Las tarifas de renovación se cargarán
automáticamente si el servicio no ha sido cancelado
debidamente.
No se aplicarán reembolsos prorrateados.

The applicable fees shall be those indicated in the
corresponding commercial proposal or invoice.
All fees are expressed in euros and do not include VAT
(21%), which will be added as applicable.
Fee updates: Fees may be increased at each renewal
in accordance with the increase in the Consumer Price
Index (IPC).
Payment method: Payment shall be annual and made
automatically via SEPA direct debit from the CLIENT’s
company bank account.
Failure to complete payment will mean that the
CLIENT is in breach of this Agreement. If the CLIENT
does not regularize payment within ONE (1) MONTH
from the due date, the services will be cancelled.
Renewal fees will be automatically charged if the
service has not been duly cancelled.
No pro rata refunds will be applied.

9. CAMBIO DE DIRECCIÓN DE LEXIDY / LEXIDY ADDRESS CHANGE
En caso de que LEXIDY cambie su dirección y el
CLIENTE desee continuar utilizando la nueva dirección
para su empresa:
LEXIDY asistirá al CLIENTE con el registro de la
nueva dirección ante el Registro Mercantil y la Agencia
Tributaria.
Los costes de notaría y tasas de registro serán por
cuenta del CLIENTE.
Si el CLIENTE no desea continuar con la nueva
dirección, podrá dar por terminado el servicio sin
penalización, siempre que notifique su decisión dentro
de UN (1) MES desde la comunicación del cambio de
dirección. LEXIDY podrá asistir al CLIENTE con el
proceso de cambio de dirección, y podrá cobrar por
dicho servicio.

In the event that LEXIDY changes its address and the
CLIENT wishes to continue using the new address for
their company:
LEXIDY will assist the CLIENT with registering the new
address with the Commercial Registry and the Tax
Agency.
Notary costs and registry fees shall be borne by the
CLIENT.
If the CLIENT does not wish to continue with the new
address, they may terminate the service without
penalty, provided they notify their decision within ONE
(1) MONTH from the communication of the address
change. LEXIDY may assist the CLIENT with the
address change process, and may charge for such
service.

10. TERMINACIÓN / TERMINATION
El CLIENTE podrá dar por terminados los servicios al
vencimiento del período inicial o de cualquier período
de renovación mediante notificación por escrito
durante el mes de preaviso indicado en la Cláusula 2
a: corporate.spain@lexidy.com
LEXIDY podrá dar por terminado el presente acuerdo
con un preaviso de UN (1) MES mediante notificación
por escrito.

The CLIENT may terminate the services at the
expiration of the initial period or any renewal period by
written notification during the one-month notice period
indicated in Clause 2 to: corporate.spain@lexidy.com
LEXIDY may terminate this Agreement with ONE (1)
MONTH’s notice by written notification.

11. TERMINACIÓN POR INCUMPLIMIENTO / TERMINATION FOR BREACH
LEXIDY podrá dar por terminado inmediatamente el
presente acuerdo sin preaviso si:
El CLIENTE incumple cualquier obligación esencial del
presente acuerdo.
El CLIENTE utiliza los servicios para fines ilegales o
fraudulentos.
El CLIENTE no efectúa el pago de las tarifas debidas
en el plazo de un mes desde el vencimiento.
El CLIENTE entra en concurso de acreedores,
liquidación o situación de insolvencia.

LEXIDY may immediately terminate this Agreement
without notice if:
The CLIENT breaches any essential obligation of this
Agreement.
The CLIENT uses the services for illegal or fraudulent
purposes.
The CLIENT fails to pay the fees due within one month
from the due date.
The CLIENT enters into bankruptcy, liquidation or
insolvency.

12. RESPONSABILIDAD / LIABILITY
LEXIDY cuenta con un seguro de responsabilidad civil
profesional contratado con GENERALI España, S.A.
que cubre hasta 2.000.000 EUR.
La responsabilidad de LEXIDY por los servicios de
domiciliación estará limitada al importe equivalente a 6
meses de tarifas.
LEXIDY no será responsable de daños indirectos,
pérdida de beneficios o daños consecuenciales.
LEXIDY no será responsable de los actos u omisiones
de los socios, administradores, empleados o
representantes del CLIENTE.

LEXIDY has professional liability insurance contracted
with GENERALI España, S.A. covering up to
2,000,000 EUR.
LEXIDY’s liability for domiciliation services shall be
limited to an amount equivalent to 6 months of fees.
LEXIDY shall not be liable for indirect damages, loss of
profits or consequential damages.
LEXIDY shall not be liable for the acts or omissions of
the CLIENT’s partners, directors, employees or
representatives.

13. USO FRAUDULENTO / FRAUDULENT USE
El CLIENTE garantiza que no utilizará los servicios de
domiciliación para actividades ilegales, fraudulentas o
contrarias a la moral y el orden público.
En caso de uso fraudulento, LEXIDY podrá suspender
inmediatamente los servicios y comunicar los hechos a
las autoridades competentes.
El CLIENTE indemnizará a LEXIDY por cualquier
daño, perjuicio o responsabilidad derivada del uso
fraudulento de los servicios.

The CLIENT guarantees that it will not use the
domiciliation services for illegal, fraudulent activities or
activities contrary to morals and public order.
In case of fraudulent use, LEXIDY may immediately
suspend the services and communicate the facts to the
competent authorities.
The CLIENT shall indemnify LEXIDY for any damage,
harm or liability arising from the fraudulent use of the
services.

14. COMUNICACIONES / COMMUNICATIONS
Todas las comunicaciones entre las partes se
realizarán preferentemente por correo electrónico.
Las notificaciones oficiales se enviarán a las
direcciones de correo electrónico proporcionadas por
cada parte.
Cada parte deberá notificar a la otra cualquier cambio
en su dirección de correo electrónico en un plazo de
48 horas.

All communications between the parties shall
preferably be made by email.
Official notifications shall be sent to the email
addresses provided by each party.
Each party must notify the other of any change in their
email address within 48 hours.

15. PROTECCIÓN DE DATOS / DATA PROTECTION

El Responsable del Tratamiento de los datos personales
del CLIENTE y sus representantes durante la prestacion
de los servicios de domiciliacion es Lexidy Law Boutique
SLP, que tratara dichos datos de conformidad con el
RGPD y la LOPDGDD con las finalidades de gestionar y
ejecutar el contrato, facturar y cobrar los honorarios, llevar
a cabo procesos administrativos y de calidad internos, y
cumplir con las obligaciones legales, contables, fiscales,
societarias y de prevencion del blanqueo de capitales
aplicables.
Asimismo, Lexidy Tech S.L. podra tratar datos basicos de
contacto e interes en los servicios en el contexto del CRM
del grupo y de la relacion comercial con el CLIENTE (por
ejemplo, seguimiento de renovaciones o informacion
sobre servicios similares), de acuerdo con la politica de
privacidad disponible en www.lexidy.com.
Los datos podran ser comunicados a proveedores de
servicios (TI, CRM, alojamiento, mensajeria, archivo) y a
otras empresas del Grupo Lexidy cuando sea necesario
para la correcta ejecucion de los servicios, siempre bajo
las garantias exigidas por la normativa de proteccion de
datos. El CLIENTE podra ejercer sus derechos de acceso,
rectificacion, supresion, limitacion, oposicion y portabilidad
contactando a compliance@lexidy.com y podra consultar
informacion mas detallada en la politica de privacidad
disponible en www.lexidy.com.

The Data Controller for the personal data of the CLIENT
and its representatives during the provision of the
domiciliation services is Lexidy Law Boutique SLP, which
will process such data in accordance with the GDPR and
the LOPDGDD for the purposes of managing and
performing the contract, invoicing and collecting fees,
carrying out internal administrative and quality processes
and complying with applicable legal, accounting, tax,
corporate and anti-money-laundering obligations.
In addition, Lexidy Tech S.L. may process basic contact
and service-interest data in the context of the group CRM
and the commercial relationship with the CLIENT (for
example, follow-up on renewals or information about
similar services), in accordance with the privacy policy
available at www.lexidy.com.
Data may be shared with service providers (IT, CRM,
hosting, courier, archiving) and with other Lexidy Group
companies where necessary for the proper performance of
the services, always under the safeguards required by
data protection law. The CLIENT may exercise their rights
of access, rectification, erasure, restriction, objection and
portability by contacting compliance@lexidy.com and may
consult more detailed information in the privacy policy
available at www.lexidy.com.

16. CONFIDENCIALIDAD / CONFIDENTIALITY

Ambas partes se comprometen a mantener la más
estricta confidencialidad sobre toda la información
intercambiada en el marco del presente acuerdo.
Esta obligación de confidencialidad permanecerá
vigente incluso después de la terminación del acuerdo.

Both parties undertake to maintain the strictest
confidentiality regarding all information exchanged
under this Agreement.
This confidentiality obligation shall remain in force even
after termination of the Agreement.

17. NULIDAD / SEVERABILITY

Si alguna cláusula del presente acuerdo fuera
declarada nula o inaplicable, las demás cláusulas
permanecerán en pleno vigor y efecto.
Las partes se comprometen a sustituir la cláusula nula
por otra válida que se aproxime lo más posible a la
intención original de las partes.

If any clause of this Agreement is declared null or
unenforceable, the remaining clauses shall remain in
full force and effect.
The parties undertake to replace the null clause with a
valid one that most closely approximates the original
intention of the parties.

18. RESOLUCIÓN DE CONFLICTOS / DISPUTE RESOLUTION

Las partes acuerdan someter cualquier controversia
derivada del presente acuerdo a mediación ante el
Centro de Mediación del Ilustre Colegio de Abogados
de Barcelona (CEMICAB), en idioma inglés.
En caso de que la mediación no prospere, las partes
someterán la controversia a arbitraje ante el Tribunal
Arbitral del Colegio de Abogados de Barcelona
(TACAB), en idioma español.

The parties agree to submit any dispute arising from
this Agreement to mediation before the Mediation
Center of the Barcelona Bar Association (CEMICAB),
in English.
If mediation is unsuccessful, the parties shall submit
the dispute to arbitration before the Arbitration Court of
the Barcelona Bar Association (TACAB), in Spanish.

19. LEY APLICABLE Y JURISDICCIÓN / APPLICABLE LAW AND JURISDICTION

Las presentes Condiciones se interpretarán de
conformidad con la legislación común española.
Para cualquier cuestión no sometida a arbitraje, las
partes se someten a la jurisdicción exclusiva de los
juzgados y tribunales de Barcelona.
En caso de discrepancia entre la versión en español y
la versión en inglés del presente acuerdo, prevalecerá
la versión en español.

These Terms and Conditions shall be governed by and
construed in accordance with common Spanish law.
For any matter not subject to arbitration, the parties
submit to the exclusive jurisdiction of the courts of
Barcelona.
In case of discrepancy between the Spanish version
and the English version of this Agreement, the Spanish
version shall prevail.

20. ACEPTACIÓN / ACCEPTANCE

La contratación de los servicios de domiciliación
implica la aceptación íntegra de los presentes
Términos y Condiciones.
El CLIENTE declara haber leído y comprendido todos
los términos y condiciones aquí establecidos.

The contracting of domiciliation services implies full
acceptance of these Terms and Conditions.
The CLIENT declares to have read and understood all
the terms and conditions set forth herein.

LEXIDY se reserva el derecho de modificar los
presentes Términos y Condiciones.
Cualquier modificación será notificada al CLIENTE con
al menos 30 días de antelación a su entrada en vigor.
Si el CLIENTE no está de acuerdo con las
modificaciones, podrá dar por terminado el servicio sin
penalización.

21. MODIFICACIONES / AMENDMENTS

LEXIDY reserves the right to modify these Terms and
Conditions.
Any modification will be notified to the CLIENT at least
30 days before it comes into effect.
If the CLIENT does not agree with the modifications,
they may terminate the service without penalty.
